You, E-Zion, and Third Parties

As the term is used here, “you” includes you and anyone authorized to use your Website account.  As the term is used here, “E-Zion” means E-Zion, Inc., with registered agent at 4605 East Chandler Blvd. Ste. 110-160, Phoenix, Arizona 85048.  As the term is used here, “Third Party” means any party other than you and E-Zion.

The Website, and the information, content, and services provided through the Website, are protected by copyright, trademark, and other laws.  Third Party content may appear on the Website and we claim no rights in it or liability for it.  We are not responsible for such content or any damages that may arise from Third Party content.  We also do not assume any liability related to links to or from the Website, and we do not assume any liability related to the content at those links.  E-Zion does not encourage copyright infringement, and you acknowledge that E-Zion has not encouraged, induced, caused, or materially contributed to copyright infringement, either by you or Third Parties.

Availability of content varies from country to country.  We may not be able to control this availability.  Unfortunately, not all content may be available where you are.

Use

You may only use the Website for lawful purposes.  E-Zion hereby grants you a worldwide, non-exclusive, non-assignable, and revocable license to use the Website as permitted by these Terms.  Use of the Website which may disable, burden, damage, or otherwise impair our network devices or the network devices of a Third Party is unauthorized.  Use which is not permitted by these Terms is in excess of your authorization, is unauthorized, is prohibited, and will terminate this license.  You understand that unauthorized use of the Website may give rise to your own civil or criminal liability, and you agree that E-Zion cannot be held liable for such unauthorized use.

Your ability to use the Website depends on the hardware and software requirements of the Website and the capabilities of the device on which you are accessing the Website.  The requirements for accessing the Website will likely change over time, and providing and maintaining a device, such as an internet-enabled and connected mobile phone or tablet, is your responsibility.  Your use of the Website will consume data.  Data and service rates may apply, and you are responsible for all charges from your telecommunications service provider arising out of your access of the Website.  Please check with your telecommunications service provider for more information about data and service rates.

We are always working on the Website.  As we work, some content, features, and services of the Website may be changed, restricted, or eliminated, while others may be newly offered.  We reserve the right to make these changes over time, and we make no promise that any features or services are permanent.

You may not reproduce or display the name or trademarks of E-Zion in any way that may create the impression of an association, affiliation, sponsorship or other relationship with E-Zion.  The Website is protected by copyright laws.  You may access the Website for your own personal, non-commercial use.  You may not sell any of the content on the Website.  You may not remove or alter any watermarks or copyright indications on the Website or any of the content on the Website.  If you are a teacher, you also have these additional rights: you may access the Website in the classroom as part of a presentation to your students; you may incorporate content from the Website into classroom presentations, lessons, and videos to your students; you may electronically distribute content from the Website to your students; you may print and distribute content from the Website to your students; you may re-arrange the content from the Website when preparing presentations, lessons, or videos for your students; and you may remove pictures or other content from the Website which you feel are not appropriate for your classroom.  Other than the above-specified rights, all other rights are expressly reserved.  Any other use exceeds authorization and is not authorized.

Termination

Termination of the license granted in these Terms may be grounds for E-Zion to terminate your account or your access to your account.  Violating any of these Terms may be grounds for us to terminate your account or your access to your account.  We may terminate your account should we become aware that you are using the Software without authorization, in excess of authorization, or in a manner which may be unreasonable or burdensome on our network devices or those of a Third Party.

Limitation of Liability

We claim no rights in or liability for content which you or a Third Party adds to content from the Website.  We are not responsible for such content or any damages that may arise from it.  If you are a teacher and have incorporated content from the Website into presentations, lessons, or videos, or have re-arranged content from the Website, or have otherwise altered or added to the content from the Website, we are not responsible for and assume no liability with respect to such content, additional content, or altered content or any damages that may arise therefrom.

You are ultimately responsible for your account and for activity that occurs under your password.  You are responsible for maintaining the security of your account and the confidentiality of your password.  If you suspect that your account’s security has been compromised, please let us know so that we may investigate.

Disclaimers

To the fullest extent permissible by applicable law, E-Zion disclaims all warranties, express or implied, including, but not limited to, implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement.  E-Zion does not warrant that the Website and information, content, and services made available through the Website are free of viruses or other harmful items.

Some state laws do not allow limitations on the disclaimer of implied warranties or the exclusion or limitation of certain damages.  If such laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you may have additional rights.

Arbitration

You agree that you will resolve any and all disputes with us on an individual basis in arbitration, and not as a class action or other consolidated proceeding.  Disputes arising out of or related to the Terms will be submitted to final and binding arbitration in metropolitan Phoenix, Arizona, in the United States of America, before a single arbitrator or, if the parties cannot agree upon a single arbitrator, before a panel of three arbitrators, one selected by each party (within 10 days after notice of a dispute and failure to agree upon a single arbitrator) and a third arbitrator selected by the selected two arbitrators.  The selection of arbitrators and all arbitration proceedings will be in accordance with the rules of the American Arbitration Association, as amended to the date of the proceedings, and judgment upon the award may be entered in any court having jurisdiction.  The arbitrators must render a decision within 30 days after their appointment and may award the costs of arbitration as they see fit.  In any proceeding arising out of or related to this Agreement, the prevailing party shall be entitled to reasonable attorney’s fees, costs, and other expenses incurred in connection with such proceeding.

Law, Forum, Jurisdiction

These Terms will be governed by the laws of the State of Arizona.  Claims that are not subject to arbitration shall be litigated a state court located in Maricopa County, Arizona or in the United States District Court for the District of Arizona.  You hereby consent to personal jurisdiction in both of those courts.

Policies, Modification, and Severability

E-Zion reserves the right to change these Terms, and other policies, at any time.  If and when these Terms do change, your continued use of the Website afterward will act as consent to those changes.  If any section of these Terms is deemed invalid or unreasonable by a court or arbitrator, that section shall be severable from the remainder of these Terms, which shall be enforced according to its terms irrespective of the enforceability of the invalid or unreasonable section, provided such enforcement is consistent with the general intent of the parties as evidenced by these Terms as a whole.
